1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Manhattin Inc. ("Company," "we," "our," or "us") governing your access to and use of the 2Families platform, including our website, applications, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 16 years old to use 2Families. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable law
• You will provide accurate and complete information when creating an account

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

2Families is a co-parenting communication platform designed to facilitate respectful and organized communication between separated or divorced parents. Our Service includes:

• Secure messaging between co-parents
• Shared calendar for custody schedules and events
• Document storage and sharing
• Mediator invitation features
• AI-assisted communication tools (premium feature)
• Voice messaging capabilities
• Contact management for children's care providers

You agree not to use the Service to:

• Harass, threaten, intimidate, or abuse any person
• Send abusive, defamatory, or offensive messages
• Share content that is illegal, harmful, or violates others' rights
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Share your account credentials with others
• Create multiple accounts to circumvent restrictions
• Use automated systems to access the Service without permission

We reserve the right to review content and communications on our platform to ensure compliance with these Terms and to maintain a safe environment for all users.

Our AI Mediator and other AI-powered features are provided for informational purposes only and are intended to assist with communication. You acknowledge that:

• AI-generated suggestions are not legal, medical, or professional advice
• AI features may not always produce accurate or appropriate responses
• You are responsible for reviewing and deciding whether to use AI suggestions
• AI features do not replace professional mediation, legal counsel, or therapy
• We are not liable for any decisions made based on AI-generated content

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANHATTIN INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Manhattin Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Quebec, Canada.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will notify you via email or in-app notification. Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Manhattin Inc. regarding the Service and supersede all prior agreements and understandings.
